These Terms of Use ("Terms") govern your access to and use of MultiLipi’s websites, products, and services (collectively, the "Services"). By creating an account, clicking "Accept", or using the Services, you agree to these Terms and to our Privacy Policy and Data Processing Addendum (where applicable). If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity.
1) Definitions
"Account" means your registration and credentials to access the Services. "Customer Content" means any content, data, media, text, metadata, glossary, translation memory (TM), and configurations you or your end users submit to or through the Services. "Order" means the online purchase, subscription selection, or any mutually executed order form referencing these Terms. "Subscription" means the plan and features you select, along with usage limits.
"Sensitive Data" means information that needs extra care or is subject to special rules (for example: special‑category data under GDPR Article 9; data about children under 16; government IDs; financial account or payment data; precise geolocation; credentials/passwords/API keys/secrets). The Services are not designed to process Sensitive Data, and you should not submit it.
2) Eligibility & Account Registration
You must be at least 18 years old and capable of forming a binding contract. If you register on behalf of an entity, you represent that you have authority to bind it.
When you create an Account, you must provide accurate, complete, and up‑to‑date information and keep it that way. You are responsible for safeguarding your credentials and for activities under your Account.
We may suspend or terminate access if we reasonably believe you have violated these Terms or applicable law, or to protect the security of the Services.
3) Access to Services & License
Subject to these Terms and your timely payment of fees, MultiLipi grants you a limited, non‑exclusive, non‑transferable, non‑sublicensable right to access and use the Services during your Subscription term, solely for your internal business purposes and in accordance with your plan limits. No rights are granted except as expressly stated.
4) Description of Services
The Services provide website localization and multilingual SEO features, including automatic translation, language routing/switching, glossary/TM management, manual edits/overrides, asset fetching at the edge, and related dashboards and APIs. Translations may be generated by machine translation providers. You remain responsible for reviewing translations for accuracy, legal compliance, and fitness for your use.
Translation workflow. In order to provide translation services, MultiLipi processes the textual content of our clients' webpages. When a page is translated, its text is sent to our servers and to our third‑party translation provider (e.g., Azure Translation Services, Google Translation Services). For performance optimization and caching, we may store the original text and its corresponding translation.
5) Plans, Trials, and Limits
Trials/Free tier. We may offer trials or a free tier with limited features/usage. We can modify, suspend, or end such offers at any time.
Usage limits. Plans may include word, language, request, or project limits. If you exceed limits, we may prompt you to upgrade or (if you enable auto‑upgrade) automatically upgrade your plan after notice, effective at the next billing date.
Plan changes. You can upgrade/downgrade in your dashboard; charges or credits are prorated where applicable.
6) Fees, Billing & Taxes
Auto‑renewal. Subscriptions renew for the same term unless canceled before the renewal date in your dashboard.
Payment method. You authorize us and our payment processor (e.g., Stripe) to charge all fees when due. We do not store full card numbers.
Taxes. Fees are exclusive of taxes. You are responsible for VAT/GST or other applicable taxes, except those based on our net income.
Late payments. We may suspend the Services for overdue amounts, charge lawful late fees, and recover reasonable collection costs.
Price changes. We may change prices for new terms or plans on notice; the change applies at your next renewal unless you cancel.
7) Refunds & Withdrawal
First‑purchase refunds. If you are not satisfied, you may request a refund for your initial subscription purchase within 7 days of the purchase date by emailing billing@multilipi.com. Refunds do not apply to renewals, plan changes, usage add‑ons, or overages.
Digital content. To the extent permitted by law, once Services begin, statutory withdrawal rights for digital content may not apply.
8) Acceptable Use
Do not use the Services for unlawful, harmful, infringing, or fraudulent activity, or to violate the rights or safety of others.
Do not attempt to reverse engineer, decompile, or derive source code from any part of the Services or underlying software, except to the extent such restrictions are prohibited by law.
Do not circumvent usage limits or access controls; do not resell or provide the Services to third parties except as expressly permitted.
Do not submit content that is illegal, defamatory, obscene, or that infringes third‑party rights (including IP or privacy rights).
No Sensitive Data. You must not submit, expose, or cause the Services to process Sensitive Data (as defined in Section 1), including by configuring the Services to fetch such information from your site(s) or systems.
Exclusion controls. You must implement and maintain effective exclusion controls (e.g., ignore/exclude selectors, "notranslate" attributes, robots headers, login/auth walls) to prevent processing of content that should not be translated or otherwise handled by the Services.
Notices and consents. You are solely responsible for providing all required notices and obtaining any required consents from your end users, and for redacting/omitting user‑generated content, logs, or fields that may contain personal data not intended for translation.
9) Customer Obligations
Ensure you have all necessary rights to Customer Content and that your use complies with law.
Configure features (e.g., domains, languages, consent settings) and review translations before publishing.
Maintain your systems, CMS, and integrations; we are not responsible for third‑party outages or changes.
10) Content & Intellectual Property
Your Content. You own your Customer Content and (subject to applicable law) the rights in translations produced for your projects. You grant MultiLipi a worldwide, limited license to host, process, transmit, and display Customer Content as needed to provide the Services and to maintain security, support, and compliance. For clarity, any content retrieved from your own site(s) or systems at your request (including via edge fetching) is deemed Customer Content.
Responsibility. You are solely responsible for the accuracy, legality, and appropriateness of Customer Content, including any personal data it contains. MultiLipi does not monitor or moderate Customer Content and is not responsible for any inadvertent inclusion of personal or sensitive information that you submit or expose to the Services.
Usage to improve Services. We may use aggregated or anonymized information derived from the Services for analytics and to improve the Services. We will not use your identifiable Customer Content to train general AI models unless you have explicitly opted in.
Our IP. MultiLipi owns all right, title, and interest in and to the Services, software, documentation, logos, and brand features. No rights are granted by implication.
Feedback. If you provide feedback, you grant us a worldwide, perpetual, irrevocable, royalty‑free license to use it without restriction.
11) Third‑Party Services & Integrations
The Services may interoperate with or depend on third‑party products and services (e.g., CMSs, CDNs, machine translation providers, analytics, payment processors). Your use of third‑party services is subject to their terms. We are not responsible for third‑party services and do not control their availability or performance.
12) Security; Service Levels
We implement reasonable technical and organizational measures designed to protect Customer Content. For enterprise plans we may agree on specific support or uptime targets in an order form or SLA. Status updates may be published on our status page.
13) Privacy & Data Protection
Our Privacy Policy explains how we process personal data as a controller. When we process personal data as a processor on your behalf (e.g., Customer Content for translation/localization), our Data Processing Addendum applies, including provisions on subprocessors listed at /legal/subprocessors.
Your role as controller. You are the controller of Customer Content and any end‑user personal data therein. You are responsible for determining the lawful basis, providing required notices, and honoring end‑user rights. MultiLipi acts solely on your documented instructions and has no obligation to monitor Customer Content for sensitive information.
14) Confidentiality
Each party may access the other party’s confidential information. The receiving party will protect such information using at least the same degree of care it uses to protect its own confidential information (but no less than reasonable care) and will use it only to perform under these Terms. Confidentiality obligations survive termination.
15) Beta/Preview Features
We may offer features identified as beta, preview, or evaluation. These may be provided "as is", for testing, with reduced or different support and availability, and may be changed or discontinued at any time.
16) Suspension & Termination
Either party may terminate for material breach if not cured within 30 days of written notice. You may terminate at any time in your dashboard; termination is effective at the end of the current term unless otherwise stated.
We may suspend or limit the Services immediately for security reasons, suspected fraud, non‑payment, or violations of these Terms.
17) Data Export & Reversibility
During the Subscription term and for a reasonable period after termination, you can export translations and related assets by contacting support. We may retain limited backups as required by law or for legitimate business purposes, after which data is deleted or anonymized.
18) Warranties & Disclaimers
We warrant that we will provide the Services with reasonable skill and care. We do not warrant that the Services will be uninterrupted or error‑free.
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
19) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR YOUR PAYMENT OBLIGATIONS AND INDEMNITY OBLIGATIONS, EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO MULTILIPI FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
20) Indemnity
You will defend and indemnify MultiLipi against third‑party claims arising from (a) your Customer Content; (b) your use of the Services in violation of these Terms or law; (c) any infringement or misappropriation of rights by your content or custom integrations; (d) your submission, exposure, or processing of Sensitive Data or other sensitive information via the Services (including through client‑site asset fetching); and (e) your failure to obtain required notices or consents from end users.
21) Publicity
We may use your name and logo to identify you as a customer on our websites and marketing materials, consistent with reasonable trademark usage practices. You can opt out by emailing legal@multilipi.com.
22) Governing Law & Disputes
These Terms are governed by the laws of India (Delhi) without regard to conflict‑of‑laws rules. The courts located in India (Delhi) will have exclusive jurisdiction, and the parties consent to personal jurisdiction and venue there. If required by consumer law, you may have additional rights or forums.
23) Changes to the Terms
We may modify these Terms from time to time. We will post the updated Terms with an effective date. If you continue using the Services after changes take effect, you accept the updated Terms. If you do not agree, you must stop using the Services and, if applicable, cancel your Subscription.
